By accessing or using Klient Accounting software and services (the "Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of the terms, you may not access the Services.

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

For the purposes of these Terms:

3.1 Service Description

Klient Accounting provides cloud-based accounting software and related services designed to help businesses manage their financial operations, including but not limited to:

• Financial reporting and analytics
• Invoice and billing management
• Expense tracking and categorization
• Tax calculation and reporting assistance
• Bank reconciliation features
• Multi-user collaboration tools

3.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, database, or content. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability.

4.1 Account Creation

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4.3 Eligibility

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you meet this eligibility requirement.

5.1 Subscription Fees

Access to the Services requires payment of subscription fees as outlined in our current pricing plans. All fees are exclusive of applicable taxes, which you are responsible for paying.

5.2 Billing and Renewal

Subscription fees are billed in advance on a recurring basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel your account.

5.3 Refund Policy

We offer a 30-day money-back guarantee for new customers. Refund requests must be submitted within 30 days of initial purchase. After this period, fees are non-refundable.

6.1 Data Ownership

You retain all rights to your data. By using our Services, you grant us a limited license to use, store, and process your data solely for the purpose of providing the Services to you.

6.2 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

6.3 Data Retention

We will retain your data for as long as your account is active or as needed to provide you services. Upon termination, we may retain and use your data as necessary to comply with legal obligations.

7.1 Our Intellectual Property

The Services and their original content, features, and functionality are owned by Klient Accounting and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Your Intellectual Property

We claim no intellectual property rights over the material you provide to the Services. Your profile and materials uploaded remain yours.

7.3 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our Services for your internal business purposes.

8.1 Responsibility for Content

You are solely responsible for the content you submit to the Services. You represent and warrant that you own or have the necessary rights to all content you submit.

8.2 Content Standards

You agree not to submit content that:

• Infringes any third party's intellectual property rights
• Contains viruses or malicious code
• Is illegal, offensive, or inappropriate
• Violates any laws or regulations

You may not use the Services:

• For any unlawful purpose or to solicit others to perform unlawful acts
• To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
• To submit false or misleading information
• To upload or transmit viruses or any other type of malicious code
• To collect or track the personal information of others
• For any obscene or immoral purpose
• To interfere with or circumvent the security features of the Service

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

Upon termination, your right to use the Services will cease immediately. If you wish to terminate your account, you may simply discontinue using the Services or contact us to delete your account.

All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

In no event shall Klient Accounting, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

Our total cumulative liability to you for all claims arising from or relating to these Terms or your use of the Services shall not exceed the total amount of fees paid by you to us during the six-month period immediately preceding the event giving rise to the claim.

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Services shall be resolved in the state or federal courts located in Wilmington, Delaware.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
